Terms of Service

These Terms of Service ("Terms") form a binding agreement between the customer ("Customer", "you" or "your") and Snowtech Services ("Snowtech", "we", "us" or "our") in relation to products and services supplied by Snowtech.

By ordering, purchasing, renewing, accessing or continuing to use a Snowtech product or service, you agree to these Terms and any additional terms, policies, licence agreements or service conditions applicable to that product or service.

APPLICATION OF THESE TERMS

These Terms apply to products and services supplied by Snowtech, including where applicable:

  • Web hosting and reseller hosting.
  • Virtual Private Servers (VPS) and server services.
  • Domain name registration, renewal and management.
  • DNS services.
  • Email services.
  • SSL certificates.
  • Cloud and storage services.
  • Software and software licences.
  • WHMCS modules and related software.
  • Web development and related professional services.
  • Third-party products and services supplied or resold by Snowtech.

Additional terms may apply to individual products or services. Where a service-specific agreement, software licence, registry rule or other mandatory requirement applies, that document or requirement must be read together with these Terms.

CUSTOMER AUTHORITY

By entering into an agreement with Snowtech, you represent that you have the legal capacity and authority to do so.

If you are acting on behalf of a company, organisation, partnership, trust or other entity, you represent that you are authorised to bind that entity to these Terms.

Customers must provide accurate, current and complete information and must keep their account and contact information up to date.

PERIOD OF AGREEMENT

Services are provided for the service term selected when the service is ordered or subsequently renewed.

Unless otherwise specified, recurring services will continue for successive service periods until cancelled in accordance with these Terms and the applicable service conditions.

The registration period of a domain name is governed separately by the applicable registry and registrar requirements and the registration term selected for that domain.

SERVICE TERMS AND FEES

The Customer agrees to pay all applicable fees for the products and services ordered from Snowtech.

Fees are payable for the applicable billing period and may include setup fees, recurring service fees, usage charges, licence fees, domain fees, third-party charges and other charges associated with the service.

Unless otherwise stated, prices are in Australian dollars.

Prices may change from time to time, including as a result of changes in supplier, registry, licensing, infrastructure or other third-party costs.

Promotional pricing applies only for the promotional period specified. Unless otherwise stated, services will subsequently renew at the then-current applicable price.

PAYMENT TERMS

The Customer agrees to pay for services in advance of each payment term on or before the due date specified on the applicable Snowtech invoice.

Customers using monthly payment arrangements may be required to maintain an approved automatic or recurring payment method.

Available payment methods may include direct deposit, credit card and other payment methods made available by Snowtech from time to time.

For usage-based or PAYG products, the Customer authorises Snowtech to charge the applicable payment method for usage charges incurred during the relevant billing period.

RESPONSIBILITY FOR PAYMENT

Responsibility for ensuring payment is received by Snowtech on or before the invoice due date rests with the Customer.

Failure to receive an invoice, reminder or other notification does not remove the Customer's responsibility to pay amounts properly due for services.

Requests to change a billing frequency should be submitted at least seven days before the next invoice due date and remain subject to the billing options available for the service.

LATE PAYMENTS

If payment has not been received by the applicable due date, Snowtech may suspend affected services.

A late fee of $25 may apply to overdue accounts where permitted by law.

Where an account remains unpaid, Snowtech may refer the debt for recovery. The Customer may be responsible for reasonable debt recovery costs where permitted by law.

Suspension for non-payment does not necessarily cancel the service or remove outstanding payment obligations.

SERVICE SUSPENSION

Snowtech may suspend or restrict a service where reasonably necessary because of:

  • Non-payment.
  • A breach of these Terms or the Acceptable Use Policy.
  • Illegal or fraudulent activity.
  • Spam, malware, phishing or other abuse.
  • A security incident or compromised service.
  • A threat to Snowtech systems, networks, customers or third parties.
  • Excessive or abusive resource consumption.
  • A requirement imposed by a registrar, registry, supplier, regulator, court or other competent authority.

Where circumstances permit, Snowtech will endeavour to provide reasonable notice and an opportunity to rectify the issue. Immediate suspension may occur where necessary to protect systems, customers, third parties or the public.

CANCELLATIONS

Cancellation requests must be submitted through the Snowtech Client Area or another method expressly approved by Snowtech for the applicable service.

This requirement assists Snowtech in verifying the authority of the person requesting the cancellation and protects Customer accounts against unauthorised changes.

Unless otherwise specified for a particular service, cancellation should be requested at least seven days before the next invoice date.

Dedicated server or other services subject to a specific notice period may require at least 30 days' notice or another period specified in the applicable service agreement.

Cancellation of one service does not automatically cancel other services associated with the same domain, account or customer.

For example, cancellation of web hosting does not automatically cancel a domain registration, and cancellation or non-renewal of a domain does not automatically cancel hosting, email or other separately supplied services.

REFUNDS AND AUSTRALIAN CONSUMER LAW

Except where otherwise expressly stated by Snowtech or required by law, setup fees and fees for services already supplied are non-refundable.

Any Snowtech money-back guarantee applies only to products expressly identified as being covered by that guarantee and is subject to the applicable conditions and exclusions.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable Australian law.

DOMAIN NAME SERVICES

Domain name registration, renewal, transfer, cancellation and management are subject to these Terms together with the rules, policies and requirements of the applicable registrar, registry, namespace administrator and regulatory body.

For .au domain names, the Customer must comply with the applicable .au Domain Administration Rules and policies published by .au Domain Administration Limited (auDA).

For applicable generic top-level domains, additional ICANN, registry and registrar requirements may apply.

Domain Availability

Snowtech may provide facilities for searching domain name availability.

Domain availability search results are provided for informational purposes only and do not guarantee that a domain can successfully be registered.

A domain is not considered successfully registered until the registration has been accepted and confirmed through the applicable registrar and registry.

Snowtech is not liable for reliance on an availability search result where the domain subsequently cannot be registered.

Registrant Information

The Customer must provide accurate, current and complete registrant and contact information required for domain registration and management.

The Customer is responsible for keeping this information current.

Snowtech may require information or documentation necessary to verify the registrant's identity, authority, eligibility or entitlement to a domain.

Providing false, misleading, incomplete or unauthorised registrant information may result in a registration being rejected, suspended or cancelled in accordance with applicable registry or registrar rules.

Domain Eligibility

The Customer is responsible for satisfying and continuing to satisfy any eligibility and allocation requirements applicable to the domain.

This is particularly relevant to restricted namespaces including .au domain names.

Snowtech does not guarantee that acceptance of a registration application establishes that the Customer will remain eligible to hold the domain.

Third-Party Rights

The Customer is responsible for ensuring that registration and use of a domain does not unlawfully infringe the rights of another party.

Registration of a domain through Snowtech does not grant ownership of any corresponding business name, company name, trade mark or other intellectual property.

Domain Renewals

The Customer is responsible for ensuring domains they wish to retain are renewed when required.

Snowtech may issue renewal notices and invoices as part of its domain management service; however, the Customer remains responsible for maintaining current contact information and ensuring renewal is completed before the applicable deadline.

Once a domain renewal has been successfully processed through the registrar or registry, it cannot normally be reversed.

Domain Refunds

Domain name registration, renewal, transfer, restoration and cancellation fees are non-refundable once the applicable transaction has been submitted or completed, except where a refund is specifically required under applicable ICANN rules, registry rules, auDA rules or Australian law.

Snowtech does not provide a refund merely because the Customer changes their mind, no longer requires the domain, ceases using the domain or requests cancellation before the end of the registration period.

Where an applicable ICANN, registry or auDA rule specifically requires a refund to the Customer, Snowtech will process that refund in accordance with the applicable requirement. The existence of a registrar or registry cancellation, credit or wholesale refund mechanism does not by itself create an entitlement to a Customer refund unless such a refund is required under the applicable rules or law.

Domain Non-Renewal

A Customer who no longer wishes to renew a domain should disable automatic renewal through the Snowtech Client Area or submit an authorised request before renewal is processed.

Disabling automatic renewal does not immediately delete the domain. The registration remains in effect until the applicable expiry date unless separately cancelled under an applicable registrar or registry process.

Domain Cancellation and Deletion

Non-renewal, expiry, cancellation and deletion are separate events.

A request not to renew a domain does not constitute a request for immediate registry deletion.

If a Customer specifically requests immediate cancellation or deletion of a domain, Snowtech may require additional confirmation before submitting the request.

The Customer acknowledges that cancellation or deletion may cause websites, email and other services using the domain to stop operating and may eventually allow another party to register the domain.

Snowtech does not guarantee that a cancelled, expired or deleted domain can be restored or subsequently re-registered by the Customer.

Expired Domains

Expired domains are subject to the lifecycle and recovery rules of the applicable registry and registrar.

Depending on the domain, renewal, restoration or redemption may remain possible for a limited period and additional fees may apply.

Snowtech does not guarantee recovery of an expired domain.

Domain Transfers

Domain transfers are subject to the requirements of the applicable registrar, registry and namespace.

The Customer must provide any required authorisation, transfer code, EPP/AuthInfo code or other information necessary to complete a transfer.

A registrar transfer does not by itself change the domain registrant or owner.

Transferring a domain away from Snowtech does not automatically cancel Snowtech hosting, email, DNS or other services.

Change of Registrant

Changing the legal registrant or holder of a domain is separate from transferring the domain between registrars.

Any Change of Registrant is subject to the requirements of the applicable registry, registrar and namespace.

Domain DNS and Nameservers

Domain registration and DNS hosting are separate services.

Changing registrars does not necessarily require changing nameservers, and changing nameservers does not constitute a registrar transfer.

The Customer is responsible for ensuring that appropriate DNS arrangements are maintained for websites, email and other services that depend on the domain.

WEB HOSTING AND RESELLER HOSTING

Hosting services are subject to the resource allocations and technical limits applicable to the selected plan.

Customers must use hosting resources reasonably and in accordance with the Snowtech Acceptable Use Policy.

Snowtech may take reasonable action to protect service stability where an account causes excessive CPU, memory, disk I/O, storage, process, bandwidth, email or other resource consumption.

Where practical, Snowtech will work with the Customer to identify an appropriate resolution, which may include optimisation, service restriction or migration to a more suitable service.

VPS AND SERVER SERVICES

VPS and server services may be supplied as managed or unmanaged services.

For unmanaged services, the Customer is responsible for administration of the operating system, applications, security, updates, configuration and data unless Snowtech has specifically agreed to provide those services.

For managed services, the scope of management is limited to the services expressly included in the applicable plan or agreement.

The Customer remains responsible for applications, software and content installed or operated by the Customer except to the extent Snowtech has expressly accepted responsibility for them.

DEDICATED SERVER RENTAL

Dedicated server rental charges may be incurred from the date of signup or order; however, unless otherwise specified, the first service rental period will commence when access to the server is provided to the Customer.

Dedicated servers may be subject to additional notice periods, hardware conditions, datacentre requirements or service-specific terms.

EMAIL SERVICES

Email services must be used in accordance with the Snowtech Acceptable Use Policy.

Customers must not use Snowtech services for unsolicited bulk email, spam, phishing, malware distribution or other abusive activity.

Snowtech may temporarily restrict email services where an account, mailbox, server or website has been compromised or is causing abuse, excessive mail volumes or damage to network or email reputation.

DNS SERVICES

Where Snowtech provides DNS hosting or management, the Customer remains responsible for ensuring requested DNS changes are accurate and authorised.

DNS changes can affect websites, email and other services. Snowtech may require additional confirmation for changes that could materially affect Customer services.

Snowtech is not responsible for failures caused by incorrect DNS information supplied by the Customer or an authorised third party.

SOFTWARE AND WHMCS MODULES

Software supplied by Snowtech, including WHMCS modules, is licensed rather than sold unless Snowtech expressly agrees otherwise in writing.

Use of Snowtech software is subject to these Terms and any applicable Snowtech Software Licence Agreement supplied with or referenced by the software.

Subject to payment of applicable licence fees and compliance with the applicable licence terms, Snowtech grants the Customer a limited, non-exclusive and non-transferable right to use the software for the licensed purpose and installation.

Software Ownership

Snowtech retains all right, title and interest in its software, source code, modules, documentation, designs and associated intellectual property except where expressly stated otherwise.

Payment of a licence fee does not transfer ownership of the software or its intellectual property to the Customer.

Licence Restrictions

Unless expressly permitted by the applicable Software Licence Agreement, the Customer must not:

  • Redistribute the software.
  • Sell or sublicense copies of the software.
  • Share licence keys with unauthorised third parties.
  • Use a licence on more production installations than permitted.
  • Publish or otherwise make Snowtech source code available to third parties.
  • Circumvent or attempt to defeat licence validation or technical licence restrictions.
  • Remove copyright, licence or proprietary notices.

Software Modification

Where source code is supplied and the applicable Software Licence Agreement permits modification, the Customer may modify the software for use within their own properly licensed environment.

Modification does not transfer ownership of the original Snowtech software and does not grant the Customer the right to distribute, sell, publish or sublicense modified or unmodified versions.

Software Compatibility

Snowtech identifies the supported environments and software versions applicable to its software products.

Snowtech does not guarantee compatibility with every current or future version of WHMCS, PHP, database software, hosting control panels, operating systems, third-party modules or external APIs.

Snowtech may release updates to maintain compatibility with supported environments but does not guarantee perpetual compatibility with third-party products.

Software Updates and Support

Access to software updates, downloads and technical support may depend on maintaining an active licence or support entitlement.

The exact rights applicable after licence expiry are determined by the applicable Software Licence Agreement and product terms.

THIRD-PARTY SERVICES AND INTEGRATIONS

Some Snowtech products depend on or integrate with third-party products, networks, APIs, registrars, registries, software, datacentres or service providers.

The Customer acknowledges that Snowtech does not control third-party systems and cannot guarantee their continued availability, functionality, pricing or compatibility.

Customers are responsible for maintaining any third-party accounts, licences, credentials, API access or subscriptions required for their use of a service unless these are expressly included by Snowtech.

Third-party services may also be subject to additional terms and policies imposed by the relevant provider.

WEB DESIGN AND DEVELOPMENT

Unless otherwise agreed, a minimum deposit of 50% may be required before commissioned web development or design work begins.

Commissioned work will not normally be placed into production or released until outstanding invoices relating to that work have been paid.

Until payment has been received in full, Snowtech retains its rights in the commissioned work to the extent permitted by the applicable agreement and law.

Ownership or licensing of third-party software, themes, plugins, stock assets, fonts or other third-party materials remains subject to the terms of the applicable third-party provider.

CUSTOMER RESPONSIBILITIES

The Customer agrees to:

  • Provide accurate and current account information.
  • Protect passwords, API credentials, licence keys and other authentication information.
  • Maintain appropriate security for Customer-managed applications and systems.
  • Use Snowtech services lawfully.
  • Comply with applicable laws, regulations and third-party requirements.
  • Not interfere with or disrupt Snowtech networks, servers or services.
  • Promptly notify Snowtech of known or suspected account or service compromise.

SECURITY

The Customer is responsible for maintaining the confidentiality of passwords and other authentication information associated with their account.

Snowtech may take reasonable steps to protect accounts and services where suspicious, fraudulent or unauthorised activity is detected.

Snowtech may require additional identity or authority verification before carrying out sensitive account, domain, DNS, billing or service changes.

BACKUPS AND CUSTOMER DATA

Unless a service is expressly supplied as a managed backup service with specified backup obligations, Customers remain responsible for maintaining backups appropriate to their requirements.

Any backup facilities provided as part of a hosting or server service should be treated as supplementary unless Snowtech has expressly agreed otherwise.

Snowtech does not guarantee that every backup will contain every item of Customer data or that a backup will always be available or recoverable.

Customers should maintain independent copies of important data.

DATA FOLLOWING SUSPENSION OR TERMINATION

Snowtech is not required to retain Customer data indefinitely after a service has been terminated.

Data associated with suspended or terminated services may be deleted after the applicable retention period or as reasonably required for operation of the service.

Customers are responsible for obtaining any required copy of their data before termination where access remains available.

Snowtech may retain information where required for legal, accounting, security, fraud prevention, dispute or regulatory purposes.

ACCEPTABLE USE POLICY

The Customer agrees to comply with the Snowtech Services Acceptable Use Policy, as amended from time to time.

The Acceptable Use Policy forms part of the conditions governing use of Snowtech services.

Snowtech may suspend or terminate services used in breach of the Acceptable Use Policy where reasonably necessary to protect Snowtech, its customers, third parties or its infrastructure.

INTELLECTUAL PROPERTY

Except for Customer-owned content and third-party materials, Snowtech retains its rights in its websites, software, modules, source code, documentation, designs, systems, branding, product names and other intellectual property.

Nothing in these Terms transfers Snowtech intellectual property to the Customer except for the limited rights expressly granted under an applicable service or software licence.

The Customer retains ownership of Customer content supplied to Snowtech, subject to any rights reasonably required by Snowtech to host, process, transmit, back up or otherwise provide the requested services.

PRIVACY

Snowtech handles personal information in accordance with its Privacy Policy and applicable Australian privacy law.

Where provision of a service requires information to be supplied to a registrar, registry, certificate authority, payment provider or other third-party service provider, the Customer authorises Snowtech to provide the information reasonably necessary to deliver that service.

COOKIES AND WEBSITE TECHNOLOGIES

Use of Snowtech websites may involve cookies and similar technologies as described in the Snowtech Cookie Policy and Privacy Policy.

SERVICE AVAILABILITY AND MAINTENANCE

Snowtech aims to provide reliable services but does not guarantee that every service will operate continuously or without interruption unless an applicable Service Level Agreement expressly provides otherwise.

Services may be affected by:

  • Scheduled maintenance.
  • Emergency maintenance.
  • Hardware or software failure.
  • Network or upstream provider failure.
  • Power or datacentre incidents.
  • Cybersecurity incidents or attacks.
  • Domain registry or DNS failures.
  • Third-party service failures.
  • Events outside Snowtech's reasonable control.

Where practical, Snowtech will provide reasonable notice of scheduled maintenance likely to materially affect services.

TERMINATION

The Customer may terminate services in accordance with the applicable cancellation requirements.

Snowtech may terminate or discontinue a service where permitted by these Terms, including because of material breach, non-payment, illegal activity, abuse, security risk or a requirement imposed by an applicable supplier, registrar, registry, regulator, court or other competent authority.

Where reasonably practicable and appropriate, Snowtech will provide notice before termination.

Immediate termination may occur where continued provision of the service would be unlawful, create a material security or abuse risk, or where immediate action is required by an authorised third party or competent authority.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Snowtech is not liable for indirect, incidental, special or consequential loss arising from use or inability to use a service, including loss of profits, business opportunity or anticipated savings.

Nothing in these Terms excludes, restricts or modifies liability, rights or remedies that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable law.

CUSTOMER INDEMNITY

To the extent permitted by law, the Customer indemnifies Snowtech against claims, losses and reasonable costs arising from the Customer's unlawful use of Snowtech services, Customer content that infringes third-party rights, or a material breach of these Terms by the Customer, except to the extent that the claim or loss was caused or contributed to by Snowtech.

CHANGES TO THESE TERMS

Snowtech may update these Terms from time to time to reflect changes to services, business practices, laws, regulations, supplier requirements, registry requirements or other operational requirements.

The current version number and effective date will be displayed with these Terms.

Where a change materially affects an existing Customer's rights or obligations, Snowtech will provide reasonable notice where required by law or where reasonably practicable.

Continued use or renewal of services after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by law.

ASSIGNMENT

The Customer may not assign or transfer an agreement with Snowtech without Snowtech's prior written consent, except where applicable law or an applicable domain registry process provides otherwise.

Snowtech may assign or transfer its rights and obligations in connection with a merger, acquisition, sale, restructure or transfer of the relevant business or service, subject to applicable law.

ENTIRE AGREEMENT

These Terms, together with the applicable order, service description, Acceptable Use Policy, Privacy Policy, Software Licence Agreement and any other expressly incorporated service-specific terms, constitute the agreement between Snowtech and the Customer in relation to the applicable services.

If a mandatory law, registry rule or regulatory requirement applies to a service, that requirement prevails to the extent that it cannot lawfully or contractually be overridden by these Terms.

SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

NO WAIVER

A failure or delay by Snowtech in exercising a right under these Terms does not constitute a waiver of that right.

SURVIVAL

Any provisions which by their nature are intended to continue after termination, including provisions concerning payment obligations, intellectual property, confidentiality where applicable, limitation of liability, indemnity and dispute-related obligations, will survive termination to the extent applicable.

GOVERNING LAW

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the jurisdiction of the courts and tribunals having jurisdiction in Victoria, subject to any rights or jurisdiction that cannot lawfully be excluded.

Important: Current legislation, mandatory registry rules and regulatory requirements take precedence where they cannot lawfully be varied by these Terms.
